A Track Record of Accomplishment
From 1985 to 1993, Howard Barnett, Bob Craine and Gary Mourton were senior executives for T/SF Communications and its predecessor, Tribune/Swab-Fox Companies, under its then CEO. In 1993, Howard Barnett became CEO and Bob and Gary, along with Howard, comprised the senior members of the management team which, acting together, accomplished the turnaround of this company.
T/SF, and its predecessor, Tribune/Swab-Fox, were headquartered in Tulsa, Oklahoma and were, in essence, financial holding companies through which various operating subsidiaries, primarily in the media, information and business services industries, were acquired and managed In 1985, the Company was in the newspaper, real estate, gas gathering and oil and gas businesses. Over time, we exited the hard asset businesses and acquired and grew the services businesses. Howard and Bob spent most of their time in the general management of the businesses and directing the acquisition/divestiture activities. Gary was the CFO and was involved in all financial aspects of the Company's various businesses. The following are a few of the highlights of the team's activities for T/SF:
- Took a public company (T/SF) with a market valuation of just over $20 million when the team took over full management of the Company in 1993 to a successful cash sale four years later for over $165 million (including stock buy-backs in the interim).
- Led the efforts for a successful IPO of T/SF in 1989.
- Initiated and negotiated over 20 acquisitions totaling over $100 million, divestitures of a number of operations valued at over $80 million (not including the sale of T/SF itself) and financings totaling over $100 million.
- Successfully negotiated the sale of the Company's daily newpaper operation, Tulsa Tribune Company, to its competitor in the face of its imminent demise.
- Managed the merger of Tribune/Swab-Fox into T/SF while both were public, Tribune/Swab-Fox owning approximately 75% of T/SF.
- Except for the first quarter after the team took over (the fourth quarter of 1993), the Company was profitable for each of the 15 quarters thereafter and each year was significantly more profitable than the year before. Before this time, T/SF had never had four profitable quarters in a row.
The acquisitions and the team's involvement with the acquired companies had a common theme. Most were very small, entrepreneurial led companies. Each was purchased in such a way as to leave the entrepreneur/founder in place running the day-to-day operations, with a significant upside potential if the company performed well. T/SF, through the management team, provided capital, accounting and other corporate infrastructure, strategic planning and general management oversight. The result was exponential growth by many of these companies, leading to the successful sale of T/SF itself in 1997.
The Principals have also been active in their community. Mr. Craine's civic leadership background includes service as Chairman of the Board of the Oklahoma Capital Investment Board, the Oklahoma Investment Forum and the Oklahoma Technology Development Corporation (now i2E, Inc), Oklahoma's principal non-profit organization dedicated to the creation of high technology businesses.
Mr. Barnett served as Oklahoma Secretary of Commerce and Chief of Staff of the Governor of Oklahoma after the sale of T/SF. In addition, he has held top leadership positions in a number of civic organizations including the Oklahoma Academy, Leadership Oklahoma, Hillcrest Medical Center Foundation and the Tulsa Metro Chamber.
Mr. Mourton has been active in various financial and accounting organizations.
